Please read these Terms of Use ("Terms") carefully before using Kareeo ("Kareeo", "we", "us", or "our"). By accessing or using our website at https://kareeo.com or our web application (collectively, the "Service"), you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using the Service, you confirm that:

• (a) you are at least 18 years of age;
• (b) you have read, understood, and agree to these Terms; and
• (c) if you are using the Service on behalf of an organization, you are authorized to bind that organization to these Terms.

If you do not agree to these Terms, you must not access or use the Service.

2. Description of the Service

Kareeo is an AI-powered platform that provides resume building, resume diagnostics, career coaching, interview preparation, job matching, and related career development tools.

3. Account Registration

To access most features, you must create an account. You agree to:

• Provide accurate, current, and complete information;
• Maintain the confidentiality of your password and account;
• Notify us immediately at support@kareeo.com of any unauthorized access;
• Accept responsibility for all activities under your account.

You may not share your account credentials or allow others to use your account.

4. Subscriptions, Billing, and Free Trial

Kareeo offers a Free plan and a paid Pro plan.

• Free Plan: Provided "as-is" and subject to change or discontinuation at any time.
• Pro Plan: Paid subscriptions are billed in advance on a recurring monthly or annual basis. Annual plans include a 33% discount for new users.
• Free Trial: We may offer a 3-day free trial. You must provide payment details to start the trial. If you do not cancel before the trial ends, you will be charged the applicable Pro plan fee.
• Cancellation & Refunds: You may cancel at any time via your account settings. Cancellation takes effect at the end of the current billing period. Upon requesting a refund, all paid services will be terminated immediately. Refunds for partial periods are generally not provided except where required by law.
• Price Changes: We will notify you at least 30 days in advance of any price increase. Continued use after the change constitutes acceptance.

All payments are processed via Stripe. You authorize us to charge the provided payment method for all fees.

5. Acceptable Use

You agree to use the Service only for lawful purposes. You must not:

• Violate any applicable law or third-party rights;
• Use the Service to create or distribute fake, fraudulent, or misleading content (including fabricated applications, resumes, or credentials);
• Create bulk or multiple accounts without our prior written permission;
• Upload viruses, malware, or harmful code;
• Attempt unauthorized access to the Service or its infrastructure;
• Scrape, crawl, or extract data using automated means without express written consent;
• Resell, sublicense, or commercially exploit the Service or its outputs;
• Interfere with the Service's integrity or performance.

6. AI-Generated Content

The Service uses artificial intelligence to generate resumes, career advice, interview guidance, diagnostics, roadmaps, and other content ("AI Output").

Important Disclaimers:

• AI Output is for informational and advisory purposes only. It does not constitute professional, legal, financial, or HR advice.
• We do not guarantee accuracy, completeness, or suitability for your specific situation. AI models can produce errors, hallucinations, or outdated information.
• You are solely responsible for reviewing, verifying, and editing all AI Output before use.
• Kareeo is not liable for any consequences arising from your use or submission of AI-generated content.

7. Your Content and Data Usage

You retain ownership of the content you upload or create (e.g., resumes, work history, profiles). By uploading Your Content, you grant Kareeo a limited, worldwide, non-exclusive, royalty-free license to use, process, store, and display it solely as necessary to provide and improve the Service.

We may use anonymized and aggregated data derived from Your Content to train and improve our AI models. We do not use identifiable user content for training without separate consent. See our Privacy Policy for details.

Ownership Clarification:

• You own the final resume you create and export.
• Kareeo owns its proprietary customized roadmaps, system prompts, methodologies, and underlying AI infrastructure.

8. Intellectual Property

All rights, title, and interest in the Service (excluding Your Content), including software, designs, AI models, trademarks, and logos, belong to Kareeo AI LLC or its licensors. You may not use the "Kareeo" name, logo, or brand features without prior written consent.

9. Third-Party Services

The Service may integrate with or link to third parties (e.g., Google, LinkedIn, TikTok Pixel, Lever, Greenhouse, and job boards). We are not responsible for their content, privacy practices, or terms. Your use of third-party services is governed by their respective agreements.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KAREEO AI LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL) ARISING FROM YOUR USE OF THE SERVICE.

Our total aggregate liability to you for any claim shall not exceed the greater of (a) the total fees you paid to us in the twelve (12) months preceding the claim, or (b) US$100.

Some jurisdictions do not allow certain exclusions, so the above may not apply to you.

12. Indemnification

You agree to indemnify and hold harmless Kareeo AI LLC, its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from:

• (a) your violation of these Terms;
• (b) Your Content; or
• (c) your use of the Service.

13. Termination

We may suspend or terminate your account at our discretion if you violate these Terms. You may terminate your account at any time by contacting support@kareeo.com or via account settings. Upon termination, your right to use the Service ceases immediately.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Florida, without regard to conflict of laws principles.

Any disputes shall be resolved through binding arbitration in Florida under the rules of the American Arbitration Association. Either party may seek injunctive relief in court for intellectual property violations.

If you are a resident of the European Economic Area or other regions with mandatory consumer protections, those laws may apply to you where they provide greater protection.

15. Changes to These Terms

We may update these Terms. Material changes will be notified via email or in-app notice at least 14 days before they take effect. Your continued use after the effective date constitutes acceptance. If you disagree, you must stop using the Service.

16. Miscellaneous

• Entire Agreement: These Terms, together with our Privacy Policy and Cookie Policy, constitute the full agreement.
• Severability & Waiver: Invalid provisions will be severed; failure to enforce a right is not a waiver.
• Assignment: You may not assign these Terms without our consent. We may assign freely.
